Terms of Service

1. Acceptance of Terms

By creating an account or using Arehté (the "Service"), you agree to these Terms of Service ("Terms"). If you do not agree, you may not use the Service. These Terms form a legally binding agreement between you and Kiana Stitt, a Tennessee-based sole proprietor operating as Arehté ("Arehté," "we," "us," "our").

You also acknowledge that you have reviewed our Privacy Policy, AI Use & Automation Disclosure, and Acceptable Use Policy, which are incorporated into these Terms by reference.

2. Description of Service

Arehté is an AI-assisted business growth and operations platform. The Service uses artificial intelligence to analyze business information, generate recommendations, prepare content, organize workflows, and assist with authorized business tasks - all under customer direction and control.

Arehté operates on the principle: HUMAN-DIRECTED. AI-ASSISTED. CUSTOMER-CONTROLLED. Arehté may suggest, prepare, and execute specifically authorized actions, but does not independently make business decisions on your behalf. You remain the decision-maker.

The Service includes content generation, approval workflows, publishing tools, outreach tools, social media integrations, and optional managed service plans.

3. Eligibility and Account

  • You must be at least 18 years old and legally able to enter into contracts to use the Service.
  • You must provide accurate and complete information when creating your account.
  • You are responsible for maintaining the security of your account credentials.
  • You are responsible for all activity that occurs under your account.
  • You must notify us promptly of any unauthorized use of your account.

4. Customer Responsibilities

You are responsible for:

  • The accuracy of information you provide to the Service.
  • Your business decisions, including decisions based on AI-generated recommendations.
  • Reviewing consequential AI-generated material before publishing, sending, or acting on it.
  • Claims, offers, and representations you make in content published or sent through the Service.
  • Ensuring your content complies with applicable laws and third-party platform policies.
  • Maintaining the accuracy of your business profile and connected accounts.
  • Any permissions you grant to Arehté and any integrations you authorize.

You are not responsible for failures caused solely by Arehté's own system defects, as described in Section 11.

5. AI-Generated Content and Automation

AI accuracy limitations. Arehté uses artificial intelligence to generate content, recommendations, and analysis. AI outputs may contain errors, may be incomplete or inaccurate, and may not be suitable for your specific circumstances. AI does not independently determine what is best for your business.

Human review. You are responsible for reviewing consequential AI-generated material before it is published, sent, or acted upon. Arehté provides approval workflows and confirmation steps for consequential actions, but the final decision to use AI-generated material is yours.

Three automation levels. Arehté actions fall into three categories:

  • Suggest: Arehté recommends something. You decide. No external action occurs.
  • Prepare: Arehté generates or prepares something for your review. You approve before external publication or sending.
  • Execute: Arehté performs an external action after you have specifically authorized it.

Authorization. Your acceptance of these Terms does not serve as blanket authorization for every future external action. Consequential actions - including publishing content, sending outreach, and executing campaigns - require your specific authorization at the time of the action. Persistent automation authorizations are recorded separately and can be revoked at any time.

No professional advice. Arehté is not a legal, tax, accounting, financial, medical, employment, or regulatory advisor. AI-generated recommendations are not professional advice and should not be relied upon as such. You should consult qualified professionals for advice specific to your circumstances.

6. No Guarantee of Results

Arehté does not guarantee any specific business outcome, including revenue, leads, customers, conversions, rankings, growth, or return on investment. AI-assisted recommendations are not guarantees of business results. Your actual results depend on many factors outside Arehté's control, including your business, market conditions, your decisions, and your execution.

7. Free Access, Subscriptions, and Billing

Free Self-Service access. Arehté's Self-Service level is free platform access. It is not a subscription, does not require a payment method, and does not automatically convert into a paid plan.

Paid subscriptions. Some features require a paid subscription. Subscription fees are billed weekly or monthly depending on the plan and cadence you select. Fees are processed through Base44 Payments.

Renewals. Paid subscriptions automatically renew at the end of each billing cycle unless you cancel before the renewal date.

Cancellations. You can cancel your subscription at any time. Cancellation takes effect at the end of the current billing period. You retain access until the end of the period you have paid for.

Refunds - paid plans. Self-Service access is free and therefore has no subscription payment to refund. Refund requests for Essential, Growth, and Scale are reviewed case-by-case. Review may take into account account usage, delivered services, work already performed or underway, and consumed platform, generation, or integration capacity. Cancellation stops future renewals but does not automatically create a right to refund prior usage or completed work.

Refunds - Managed service plans (Growth, Scale). Because managed service plans involve human creative labor, refunds are handled on a case-by-case basis. If you believe you were charged in error or are unsatisfied with the service, contact us and we will review your situation. This does not affect any statutory rights you may have.

Production Credits. Eligible paid plans include monthly Production Credits that can be allocated to supported production work. Production Credits are platform entitlements, not cash, stored value, gift cards, API tokens, or cryptocurrency, and they cannot be transferred, redeemed for cash, or sold. Included-plan credits may be subject to plan-specific rollover caps and expiration rules. Separately purchased Production Credit packs are one-time purchases and, while an eligible paid plan remains active, unused purchased credits may carry forward subject to the rules shown in your account.

Purchased Production Credit refunds. A refund, reversal, chargeback, or cancellation of a Production Credit purchase does not automatically restore or revoke credits inside Arehté without verified payment-provider evidence. If purchased credits remain fully unused, Arehté may reverse the corresponding credits after the external refund is confirmed. If some or all purchased credits have already been consumed, reserved, or used for completed production, the request requires manual review and may not be eligible for a full credit reversal. This does not limit rights that cannot legally be waived.

Communications. Account creation or purchase does not, by itself, opt you into marketing/value emails. Necessary service communications about your account, billing, security, requested work, and material service changes are separate from voluntary marketing/value emails. Where AREHTÉ offers marketing/value emails, you may opt in, choose an available frequency, and opt out at any time through the unsubscribe mechanism or your account preferences.

Service changes. We may change our plans, pricing, and features over time. We will provide reasonable notice of material changes to existing subscribers.

8. Managed Service Plans

Growth and Scale include human-assisted or human-managed work with defined scope. Managed-service capacity is not unlimited.

  • Growth - monthly: includes 2 Done-for-You Requests per monthly billing cycle. Growth - weekly includes 1 Done-for-You Request per successfully paid weekly billing cycle.
  • Growth Request scope: one Request is one focused eligible outcome within the plan’s included service scope. Up to 2 revision rounds are included. Most standard human work is targeted for approximately 3–5 business days. Larger or materially different work may be scoped separately or require an additional Request.
  • Growth rollover: up to one unused Request may roll into the next paid cycle, with a maximum of 3 available Requests. Rollover is limited to one cycle and requires an active renewed subscription.
  • Scale - monthly: includes up to 10 Done-for-You Requests, up to 10 Creative Strategist and COA hours, and 2 strategy sessions per monthly billing cycle.
  • Scale - weekly: includes up to 2 Done-for-You Requests per successfully paid weekly billing cycle, with direct Creative Strategist and COA support within plan capacity.
  • Done-for-You Request scope: a Request is one clearly defined eligible outcome within the plan’s included service scope. More complex outcomes may consume multiple Requests or receive a separate project quote. Available Request count does not override the applicable Creative Strategist and COA capacity or separately scoped work.
  • Scale revisions and turnaround: up to 2 revision rounds are included per Done-for-You Request. Standard Requests are generally targeted for 3–5 business days; production-heavy work may require approximately 5–7 business days; larger projects may require 1–2 weeks or longer and will receive a scoped timeline before work begins.
  • Scale rollover: eligible unused Request capacity may roll into the next paid cycle under the limits shown in your plan. Rollover is limited and does not accumulate indefinitely.
  • Communication: managed-service communication, requests, revisions, and approvals are handled through Arehté whenever practical. Growth and Scale do not include unlimited meetings, direct messages, email consulting, or unlimited revisions.
  • When work is consumed: once approved human work begins, the applicable Done-for-You Request is considered used. Cancellation does not restore already-started or completed managed-service capacity.
  • External actions: publishing, sending communications, spending money, signing agreements, or other consequential external actions require customer authorization. Subscription enrollment alone is not blanket authorization.

9. Third-Party Tools and Subscriptions

Arehté's standard platform and AI tools are included where applicable. Client-owned subscriptions remain the client's responsibility when required, including advertising accounts and ad spend, email marketing platforms, domains and hosting, specialized CRM platforms, paid SEO tools, stock media subscriptions, and other specialized third-party software.

If an external paid tool is required for work, the client must approve the cost before Arehté incurs it. Arehté will never create a paid external subscription on behalf of a client without explicit approval.

10. Third-Party Integrations

Arehté offers optional integrations with third-party platforms, including social media platforms (Meta/Facebook, Instagram, LinkedIn, TikTok), email (Gmail), and AI model providers. See our Third-Party Services & Integrations Policy for details.

When you connect a third-party account:

  • You authorize that platform to share access with Arehté through its own OAuth process.
  • You grant Arehté permission to perform the actions you specify on your behalf.
  • You are responsible for ensuring you have the right to publish content and send communications through your connected accounts.
  • You are subject to the third-party platform's own terms of service and policies.
  • You can disconnect any integration at any time.

Third-party service failures. Arehté does not own or control third-party platforms. Third-party APIs can change, integrations can become unavailable, and third-party accounts can be suspended. Arehté is not responsible for third-party decisions, outages, or policy changes, except where required by law or contract.

11. Disclaimers and Limitation of Liability

Disclaimer of warranties. The Service is provided "as is" and "as available" without warranties of any kind, express or implied. We do not guarantee that the Service will be uninterrupted, error-free, secure, or that AI-generated content will meet your expectations.

Distinguishing responsibility. The parties' responsibilities are allocated as follows:

  • Customer misuse or error: You are responsible for misuse of the Service, errors in your input, and decisions you make based on AI outputs.
  • AI-generated inaccuracies: You are responsible for reviewing AI-generated content before use. Arehté is not liable for inaccuracies in AI outputs that you reviewed and chose to use.
  • Third-party service failures: Arehté is not responsible for third-party platform outages, API changes, or policy decisions, except where required by law or contract.
  • Arehté system errors: Arehté is responsible for its own system defects to the extent described in this Section and Section 12.

Limitation of liability. To the maximum extent permitted by law, Arehté's total liability arising from your use of the Service shall not exceed the amount you have paid to Arehté in the preceding 12 months. Arehté shall not be liable for any indirect, incidental, special, or consequential damages, except where such exclusion is not legally enforceable.

Exclusion of certain damages. To the extent legally enforceable, Arehté is not liable for loss of profits, loss of revenue, loss of customers, loss of data, or loss of goodwill. Some jurisdictions do not allow the exclusion of certain damages, so this exclusion may not apply to you.

12. Indemnification

You agree to indemnify and hold harmless Arehté from claims, damages, and expenses (including reasonable legal fees) arising from: (a) your misuse of the Service; (b) content you publish or send through the Service; (c) your violation of these Terms or applicable law; (d) your violation of third-party rights or platform policies; or (e) claims that your content infringes the rights of others. This indemnification does not apply to claims arising from Arehté's own negligence or willful misconduct.

13. Intellectual Property

Customer content. You retain ownership of content you upload or create through Arehté, including your business data, brand assets, and uploaded files. You grant Arehté a limited license to process and generate that content as part of the Service and, where a supported connection and your authorization allow it, publish approved content on your behalf. This license terminates when you delete your content or close your account, except where retention is required for legal, accounting, or security purposes.

Arehté intellectual property. Arehté retains ownership of the platform software, code, architecture, UI, proprietary workflows, internal prompts and system instructions, proprietary methodologies, templates, branding, trademarks, and internal analytics and platform technology. You may not copy, modify, distribute, or reverse-engineer the Arehté platform.

License to operate the service. You grant Arehté the rights necessary to operate the Service, including processing your data and generating AI outputs. Where a connected provider, granted permissions, and your specific authorization support publishing, this also includes publishing approved content to that connected account.

14. Account Suspension and Termination

By you. You can request account deletion at any time through Privacy & Security in your dashboard or through support. We verify and process requests subject to legally required billing, fraud-prevention, security, and legal retention. Upon termination, your right to use the Service ends immediately.

By Arehté. We may suspend or terminate your access if you violate these Terms, if your account is inactive for an extended period, or if required to protect the Service or other users. We will provide reasonable notice where circumstances permit.

15. Dispute Resolution

Informal resolution. If you have a dispute, you agree to first contact us and attempt to resolve the dispute informally for at least 30 days.

Governing law. These Terms are governed by the laws of the State of Tennessee, without regard to conflict of law principles.

Arbitration. If the dispute cannot be resolved informally, you and Arehté agree to resolve it through binding arbitration rather than in court, except that either party may seek injunctive relief in a court of competent jurisdiction to protect intellectual property. You and Arehté each waive the right to participate in a class action or class-wide arbitration.

If any provision of this dispute resolution section is found unenforceable, the remaining provisions remain in effect.

16. General Provisions

  • Severability: If any provision of these Terms is found unenforceable, the remaining provisions remain in full effect.
  • Entire agreement: These Terms, together with the documents incorporated by reference, constitute the entire agreement between you and Arehté regarding the Service.
  • Electronic acceptance: Your acceptance of these Terms through the signup process (checking the agreement box and creating an account) constitutes your electronic signature and acceptance of these Terms.
  • Amendments: We may update these Terms from time to time. We will notify you of material changes by posting the updated terms and, where appropriate, by email or in-app notification. Continued use of the Service after material changes constitutes acceptance of the new Terms. We record the version you accepted.
  • Notices: We provide notices via email, in-app notifications, or by posting on this page.
  • Force majeure: Arehté is not liable for delays or failures caused by events beyond our reasonable control, including natural disasters, internet outages, or third-party service failures.
  • Confidentiality: Each party will protect the confidential information of the other as described in the Privacy Policy and Security & Data Handling Statement.
